Terms of Service
These Terms of Service ("Terms") are a binding agreement between you and Impulsion Systems, Inc., operating as Impulsion ("Impulsion", "we", "us"), governing your use of the Impulsion platform and services (the "Service"). By creating an account, accepting these Terms, or continuing to use the Service, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you accept on behalf of a Barn or other organization, you represent that you are authorized to bind it.
1. The Service
Impulsion is a multi-tenant software platform for equestrian (horse-riding) businesses ("Barns"). It provides scheduling, billing, payments, accounting integration, advertising/lead management, messaging, and reporting features, some of which rely on third-party providers (Plaid, Stripe, Intuit QuickBooks, Meta, Google, Twilio, and GoHighLevel). Your use of those features is also subject to the relevant third party's terms, as described below.
2. Accounts & Acceptable Use
You must provide accurate information, keep your credentials secure, and use the Service only for lawful purposes and in compliance with these Terms and applicable law. You may not misuse the Service, attempt to access data you are not authorized to access, interfere with its operation, or use it to violate the rights of others. We may suspend or terminate access for breach.
3. Payments & Payouts — Stripe Connect
Payment processing and payouts are provided by Stripe, not by Impulsion. Depending on how your account is configured, one of the following agreements applies. By accepting these Terms or continuing to operate as a Barn on Impulsion, you accept the applicable Stripe agreement below.
3.1 Barns that accept payments (full Stripe service relationship)
3.2 Barns that only receive payouts (recipient relationship)
3.3 Acquirer disclosure, identity verification & fees
For Barns under the full Stripe Services Agreement, Stripe is the payment-method acquirer; please review Stripe's Acquirer Disclosure, which is presented to you as part of onboarding and which establishes your direct relationship with the acquirer under card-network rules. Recipient-only accounts that cannot process card payments are not subject to the Acquirer Disclosure.
Canada — identity verification: Our payment processor can obtain information from credit agencies to verify your identity. That information will be used for the purposes described in their Privacy Policy.
Fees. Impulsion's platform fees are separate and distinct from Stripe's processing fees. Stripe is not responsible for any fees imposed by Impulsion, and Impulsion is not responsible for Stripe's fees.
Privacy. When you provide personal data in connection with payments, Stripe receives that personal data and processes it in accordance with the Stripe Privacy Policy. Our handling of Connected Account Data is described in our Privacy Policy; both this Privacy Policy and the Stripe Privacy Policy apply.
You consent to Impulsion accessing, using, and communicating your Connected Account Data to Stripe to provide the Service, and you agree we may re-collect your acceptance of the applicable Stripe agreement when ownership changes, when you update a verified tax ID, or when updated information is required.
4. Bank Connections — Plaid
If you connect a financial account, you do so through Plaid. You enter your credentials directly with Plaid, and Plaid processes your information under the Plaid End User Privacy Policy. Our handling of the resulting financial data, and your rights to disconnect and request deletion, are described in our Privacy Policy. Nothing in these Terms is intended to make any representation about your data that is contrary to or inconsistent with the Plaid End User Privacy Policy, and nothing here is intended to interfere with Plaid's own notice-and-consent processes.
5. Software License & Third-Party Integrations (including QuickBooks)
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. You may not copy, modify, reverse-engineer, resell, or sublicense the Service except as expressly permitted.
The Service connects to third-party services (including Intuit QuickBooks Online) that you choose to authorize. Connecting a third-party service transfers your data to that integration as described in our Privacy Policy. Intuit is not responsible for Impulsion's performance, content, or use of data, and Impulsion is a third party that is not affiliated with Intuit. Your use of each third-party service is governed by that provider's own terms and privacy policy, which may differ materially from ours; you are responsible for reviewing them. We disclaim responsibility for third-party services to the extent permitted by law.
5.1 AI Document Drafting — No Legal Advice; Attorney Review Required
No Legal Advice; Attorney Review Required. Impulsion provides document-drafting software that helps you assemble agreement documents from templates and information you supply. Impulsion is not a law firm, is not your attorney, and does not provide legal advice, legal opinions, or legal representation. Document drafts, statutory references, and suggested language are provided for informational purposes only, may be incomplete or out of date, and are not a substitute for the advice of a licensed attorney in your jurisdiction. You agree that you will have any generated document reviewed and approved by your own attorney before using it with any client, participant, or other person, and that your use of any generated document is at your own risk.
6. Advertising Integrations — Meta Platform Data
If you connect a Meta (Facebook/Instagram) advertising account, you authorize us to receive and process Platform Data (such as Lead-Ads submissions and campaign metadata) solely to provide the features you enable. We use Platform Data only for those purposes, do not sell it, and engage service providers/sub-processors to handle it only under written agreements that bind them to equivalent protections. We maintain the data-security measures described in our Privacy Policy. We will delete Platform Data promptly upon your request, as described in our Data Deletion page.
7. SMS / Text Messaging Terms
Program. Impulsion (and the Barn you interact with) may send you text messages relating to the program you opted into — including lesson reminders, scheduling and billing notices, account notifications, and, only where you separately and expressly opted in, marketing messages from your Barn.
- Message frequency: Message frequency varies.
- Cost: Message and data rates may apply.
- Opt out: Reply STOP to cancel at any time. After you reply STOP, we will send one confirmation message and then stop sending messages for that program.
- Help: Reply HELP for help, or contact us at privacy@impulsion.io.
- Carriers: Carriers are not liable for delayed or undelivered messages.
How we use your number. We use your mobile number only to send the messages for the program you opted into; we do not use it for unrelated purposes and we do not share your opt-in/consent with third parties, affiliates, or lead generators for marketing or promotional purposes (see our Privacy Policy).
Consent. Your consent to receive messages is voluntary, is not a condition of any purchase, and is specific to the program and sender you opted into. Marketing messages require your prior express written consent. You may withdraw consent at any time by replying STOP.
8. Fees & Subscriptions
Paid features are billed as described at sign-up or in your order. Except as required by law or stated otherwise, fees are non-refundable. We may change fees prospectively with notice.
9. Intellectual Property
We and our licensors own the Service and all related intellectual property. You retain ownership of your data; you grant us the limited rights needed to operate the Service for you.
10. Disclaimers & Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind, to the maximum extent permitted by law. To the maximum extent permitted by law, Impulsion is not liable for indirect, incidental, special, consequential, or punitive damages, and our total liability for any claim is limited to the amounts you paid us for the Service in the 12 months before the claim. Some jurisdictions do not allow certain limitations, so some may not apply to you.
11. Indemnification
You agree to indemnify and hold Impulsion harmless from claims arising out of your misuse of the Service or your violation of these Terms or applicable law.
12. Termination
You may stop using the Service at any time. We may suspend or terminate access for breach, legal requirement, or risk. On termination, you may request export or deletion of your data as described in our Data Deletion page, subject to legal retention obligations.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Maryland, United States, without regard to conflict-of-laws rules, except where mandatory consumer-protection law provides otherwise.
14. Changes to These Terms
We may update these Terms; the linked third-party agreements (including the Stripe Services Agreement) may also be modified by their providers from time to time. We will post the updated Terms with a new "Last updated" date and, where required, notify you. Continued use after an update constitutes acceptance.
